NineteenPay TSP provides intelligent technical service provider (iTSP) solutions, including:

3. Eligibility and Registration

To use our Services, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding agreements
• Provide accurate, current, and complete information during registration
• Maintain and update your account information as necessary
• Comply with all applicable laws and regulations
• Not be prohibited from using payment services under applicable law

4. Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Using strong passwords and enabling two-factor authentication when available

5. Payment Processing

5.1 Transaction Processing

We process payments on behalf of merchants in accordance with:

• RBI guidelines and payment regulations
• PCI-DSS security standards
• Our merchant agreement and processing rules

5.2 Fees and Charges

Transaction fees and charges are as specified in your merchant agreement. Fees may vary based on:

• Transaction volume and value
• Payment method used
• Geographic location
• Service tier and features

6. Prohibited Activities

You agree not to use our Services for:

• Illegal activities or transactions
• Fraud, money laundering, or terrorist financing
• Violation of any applicable laws or regulations
• Infringement of intellectual property rights
• Transmission of viruses, malware, or harmful code
• Unauthorized access to our systems or networks
• Reverse engineering or attempting to extract source code
• Interfering with or disrupting our Services

7. Compliance and Regulatory Requirements

You must comply with all applicable laws and regulations, including:

• RBI payment and settlement system regulations
• KYC/AML requirements
• Data protection and privacy laws
• Consumer protection regulations
• Tax and reporting obligations

We reserve the right to suspend or terminate accounts that fail to comply with regulatory requirements.

8. Intellectual Property

All content, trademarks, logos, and intellectual property on our platform are owned by NineteenPay TSP or our licensors. You may not:

• Copy, modify, or distribute our proprietary materials
• Use our trademarks or logos without written permission
• Reverse engineer or attempt to extract our technology
• Create derivative works based on our Services

9. Limitation of Liability

To the maximum extent permitted by law:

• Our Services are provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the fees paid to us in the 12 months preceding the claim
• We are not responsible for third-party services or integrations

10. Indemnification

You agree to indemnify and hold harmless NineteenPay TSP, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, violation of these Terms, or infringement of any rights of another party.

11. Termination

We may terminate or suspend your account and access to our Services:

• Immediately for violation of these Terms or illegal activities
• With notice for non-payment or breach of agreement
• At any time with 30 days' notice for business reasons

Upon termination, you must cease all use of our Services, and we may delete your account data in accordance with our data retention policies.

12. Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through:

• Good faith negotiation between the parties
• Mediation if negotiation fails
• Arbitration in accordance with the Arbitration and Conciliation Act, 2015
• Jurisdiction: Courts in Delhi, India

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our platform. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Delhi, India.
